These Terms of Use (“Terms”) govern your access to and use of the B3NET QJ website, platforms, digital products, software, CRM portals, and related services (collectively, the “Services”).

By accessing the Services, you agree to be bound by these Terms.

1. Contracting Entity

The Services are provided by:

A joint venture between B3NET Inc. (USA) and QJ Consulting Pvt. Ltd. (India)

2. Use of the Services

You agree not to:

• Use the Services for unlawful or unauthorized purposes.
• Attempt to gain unauthorized access to systems or networks.
• Reverse engineer, copy, or misuse proprietary code or materials.
• Upload content that is defamatory, infringing, harmful, or violates the rights of others.
• Interfere with Service performance or security.

Violation may result in suspension or termination of access.

3. Intellectual Property Rights

Unless otherwise stated in a client contract:

• All content, designs, source code, software, frameworks, text, images, trademarks, and proprietary tools used by B3NET QJ are protected under copyright and IP laws.
• No IP rights are transferred to the user unless expressly granted in writing.
• Deliverables produced under paid client engagements are governed by the respective contract or SOW.
• Unauthorized reproduction, resale, redistribution, or modification is strictly prohibited.

4. Confidentiality

By using the Services, you agree not to disclose or misuse proprietary, confidential, or sensitive information obtained through interactions with B3NET QJ.

5. Client Project Terms

Where applicable, project engagements follow:

• Master Service Agreements (MSAs)
• Statements of Work (SOWs)
• Accepted quotations or proposals

These documents supersede general Terms for deliverables, timelines, and payment obligations.

6. Third-Party Tools & Integrations

The Services may include integrations with:

• Google Analytics
• CRM systems
• ERP/Oracle platforms
• AI processing engines
• Cloud hosting providers

We are not responsible for performance issues, failures, or actions of third-party systems or providers.

7. Disclaimers

To the maximum extent permitted by law:

• The Services are provided “AS IS” and “AS AVAILABLE.”
• We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not guarantee uninterrupted, error-free, or secure access.

8. Limitation of Liability

To the fullest extent permitted by law:

• B3NET QJ shall not be liable for indirect, incidental, consequential, punitive, or special damages.
• Our total liability for any claim shall not exceed the amount paid by the user for the specific Service giving rise to the claim.

This limitation is essential for B2B engagements to reduce commercial exposure.

9. Indemnification

You agree to indemnify and hold harmless B3NET QJ from any claims, losses, liabilities, damages, or expenses arising from:

• Misuse of the Services
• Violation of these Terms
• Infringement of any third-party rights

10. Service Modifications & Termination

We may modify or discontinue the Services at any time without notice. We may also suspend or terminate access for violations of these Terms, security concerns, or unlawful activities.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles.

All disputes shall be resolved through:

• Good-faith negotiation; followed by
• Binding arbitration in Collin County, Texas (unless otherwise required by law)

12. International Users

Users outside the United States access the Services at their own risk and are responsible for compliance with local laws.

13. Changes to the Terms

We may update these Terms at any time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
